Consignment Inventory
An arrangement where a supplier places goods with a retailer but retains ownership until the items are sold, after which the retailer pays the supplier.
Consignment inventory is an arrangement where a supplier places goods with a retailer or distributor but retains legal ownership of those items until they are sold to the end customer. Once the products are sold, the retailer pays the supplier according to their agreed-upon terms. This model shifts inventory risk from the retailer to the supplier, as unsold goods can typically be returned without financial obligation.
Why it matters for e-commerce brands
For Shopify and DTC merchants, consignment inventory arrangements can significantly reduce upfront capital requirements and inventory risk when expanding into new sales channels or testing new products. This model allows e-commerce brands to display and sell a wider variety of products without tying up cash in inventory purchases, improving cash flow and enabling more flexible product experimentation. However, brands acting as suppliers in consignment arrangements must carefully manage their own working capital and inventory levels across multiple retail partners.
Example
A jewelry maker partners with three boutique retailers on a consignment basis, placing $5,000 worth of handcrafted pieces in each store. The retailers display and sell the jewelry, but the maker retains ownership of all unsold items. Each month, the retailers remit payment only for pieces actually sold—perhaps $1,200 from one store and $800 from another—while unsold inventory remains the maker's property. After 90 days, the maker can retrieve slow-moving items and replace them with new designs without the retailers having invested any capital upfront. This allows the jewelry maker to access physical retail channels while the boutiques can offer unique products without inventory risk.
